Announcement Title * COMPETITION COMMISSION OF SINGAPORE ISSUES PROPOSED INFRINGEMENT DECISION AGAINST FERRY OPERATORS  
Description
The Board of Directors ("the Board") of Penguin International Limited ("the Company" and together with its subsidiaries, "the Group") wishes to announce that the Competition Commission of Singapore ("CCS") today issued a Proposed Infringement Decision ("PID") against Penguin Ferry Services Pte. Ltd. ("PFS") and Batam Fast Ferry Pte. Ltd. for allegedly contravening Section 34 of the Competition Act (Cap. 50B), which "prohibits, amongst other things, concerted practices which have as their object the prevention, restriction or distortion of competition."

The alleged infringement took place prior to the completion of the sale of PFS to SIF Group Pte. Ltd. on 30 June 2011. PFS has since been renamed Sindo Ferry Pte. Ltd. and is no longer a subsidiary of the Group.

According to a CCS announcement on its website, the two ferry operators had allegedly "engaged in the exchange and provision of sensitive and confidential price information in relation to ferry tickets sold to corporate clients and travel agents, for the route between Singapore (Harbourfront) and Sekupang, Batam; and the route between Singapore (Harbourfront) and Batam Centre. This conduct is a breach of the Competition Act."

The PID is a written notice setting out the basis for CCS' decision. The Group has until 23 April 2012 to respond to the findings, if it wishes to do so.

Commenting on the CCS decision, the Group's Managing Director James Tham said, "We are disappointed in the CCS decision. Penguin Ferry Services has always been a professionally run, customer-oriented company. We have not consciously engaged in or benefited from any anti-competitive behavior."

The Board will review the PID before responding to CCS.

The Board does not expect this matter to have a material impact on the net tangible assets and earnings per share of the Group for the financial year ended 31 December 2012.
