Description
The Board of Directors of Loyz Energy Limited (the “Company”) wishes to announce that Loyz USA Holdings LLC (“Loyz USA”), the wholly owned subsidiary of Loyz Oil Australia Pty Ltd, which in turn is the wholly-owned subsidiary of Loyz Oil Pte Ltd, had incorporated the following subsidiary in Delaware, USA on 13 November 2012:-

• Loyz Rex Drilling Services LLC (“Loyz Rex”)

Loyz Rex comprises of 100 units of interest (“units”). Loyz USA acquired an interest of 51% of the units in Loyz Rex, comprising 51 units at a total consideration of USD4,080.00. The balance interest of 49%, comprising 49 units, is held by Rex US Ventures LLC.

The main activities of Loyz Rex are as follows :-

a) exploration and production of oil and gas; and
b) provision of drilling and related oil field support services.

The incorporation of Loyz Rex was funded through internal resources and is not expected to have any significant effect on the consolidated net tangible assets and earnings per share of the Company and the Group for the financial quarter ending 31 December 2012.

Save as aforesaid, other than interest held through the Company as shareholder, none of the Directors and controlling shareholders of the Company has an interest, direct or indirect, in the setting up of Loyz Rex.
