Description
The Board of Directors (“Board”) of Golden Agri-Resources Ltd (“Company” and together with its subsidiaries, “Group”) refers to the Company’s announcement dated 1 November 2012 (“Previous Announcement”) regarding the establishment of a Ringgit-denominated Islamic medium term note programme (the “Programme”) of up to Ringgit Malaysia 5.0 billion via its wholly-owned subsidiary, Golden Assets International Finance Limited (“Issuer”).

Further to the Previous Announcement, the Board wishes to announce that the Issuer has issued Ringgit Malaysia 1.5 billion of Islamic medium term notes (the “IMTNs”) under the Programme today.

The IMTNs have a tenor of 5 years and will mature in November 2017. The IMTNs, were successfully priced on a “bought deal” basis and bear a profit rate of 4.35% per annum, payable semi-annually in arrears. Capitalising on the Group’s USD-denominated revenues, the Issuer also entered into a Cross Currency Swap transaction of the IMTNs into USD.

The net proceeds raised from the issuance of the IMTNs will be utilised for the Group’s general corporate purposes which shall be in compliance with Shariah principles.

The IMTNs will not be listed on any exchange.

OSK Investment Bank Berhad and RHB Investment Bank Berhad acted as the Joint Principal Advisers/Joint Lead Arrangers for the Programme and the Joint Lead Managers/Joint Underwriters and Primary Subscribers for the IMTNs.

None of the directors or controlling shareholders of the Company has any interest, direct or indirect, in the issuance of the IMTNs.
