Announcement Title * (1) Acquisition of Shares in Associated Company; (2) New Subsidiary  
Description The Board of Directors of Sinarmas Land Limited (“SML” and together with its subsidiaries, the “Group”) wishes to announce the following:-

(1) ACQUISITION OF SHARES IN ASSOCIATED COMPANY

PT Bumi Serpong Damai Tbk (“BSDE”), a subsidiary of SML, has acquired 142,000,000 quoted shares of nominal value of IDR 200 each representing 4% of the shareholding in PT Plaza Indonesia Realty Tbk (“PIR”) for a total net consideration of IDR 284 billion (equivalent to SGD 34.08 million) (the “Acquisition”).

The consideration, which was based on PIR’s share market price, was financed by internal resources and fully settled in cash.

Following the Acquisition, the Group’s effective interest in PIR increased from 21.93% to 23.92%.

BSDE and PIR are both listed on the Indonesia Stock Exchange.

(2) NEW SUBSIDIARY

PT Paraga Artamida’s (“PAM”) subsidiary has acquired 55,000 shares of nominal value of IDR 1 million each representing 55% of the shareholding of PT Kusumasentral Kencana (“KSK”), a company established in Indonesia, for a total consideration of approximately IDR228,317,660,000 (equivalent to approximately SGD 27.40 million), resulting in KSK becoming a subsidiary of the Group.

The principal activity of KSK is that of property development, and owner of a piece of land in the Jakarta central business district (“KSK Land”).

The consideration was determined based on comparable market prices of land in the same area vis a vis KSK Land, and was fully settled in cash from internal resources.

PAM is a subsidiary of SML.
