CAPITAL REDUCTION

Description

With reference to the Circular to Shareholders dated 22 March 2011 (the “Circular”) and further to the announcement dated 3 May 2011, Great Eastern Holdings Limited (the “Company”) wishes to announce that it has lodged an Order of Court and other documents as prescribed under the Companies Act, Chapter 50, with the Accounting and Corporate Regulatory Authority of Singapore today, in relation to the Company’s capital reduction exercise (the “Capital Reduction”), which involves a cash distribution (the “Cash Distribution”) by the Company to the Shareholders of approximately S$364 million, or S$0.77 in cash for each ordinary share in the capital of the Company held as at the books closure date of 31 May 2011. The special resolution for the Capital Reduction that was passed at the Extraordinary General Meeting of the Company on 14 April 2011 has taken effect from today. Unless otherwise defined, capitalised terms used in this Announcement shall have the same meaning as defined in the Circular to Shareholders.
