COMPLETION OF ACQUISITION OF INTERESTS IN METROLINK INTERNATIONAL LTD

Description

Reference is made to the Company’s announcements dated 21 October 2010, 29 November 2010, 30 December 2010, 31 March 2011 and 19 May 2011 in relation to the proposed acquisition of Metrolink. Unless otherwise defined, capitalized terms used in this announcement shall have the same meaning as defined in the announcement dated 21 October 2010. The Board of Directors of Koda Ltd (the “Company”) is pleased to announce that the transactions under the S&P and Subscription Agreement have been completed and the Company now hold a 51% interest in Metrolink. Pursuant to the said completion, the Company issued an aggregate of 2,823,800 ordinary shares (the “Consideration Shares”) in the capital of the Company to CKK and LSK, the vendors of the Metrolink shares under the S&P, at a price of S$0.185 per Consideration Share, fully paid. The Consideration Shares rank pari passu in all respects with the existing shares of the Company. Upon the issue of the Consideration Shares, the number of issued and paid-up shares in the capital of the Company is increased to 136,513,397.
