Description
The Board of Directors (the “Board”) of KXD Digital Entertainment Limited (the “Company”) refers to the Company’s announcement on 23 June 2011 (the “Announcement”) that the Company intends to initiate Legal Action against Liu Fusheng, director of the Company from 17 February 2003 to 17 September 2010, for breach of his fiduciary duties, and breach of his duties under Section 157 of the Companies Act (Cap. 50) to the Company.

All capitalised terms used herein but not defined have the same meaning given to them in the Announcement.

The Board wishes to announce that the Company has, on 11 July 2011, filed a Writ of Summons against Liu Fusheng at the High Court of the Republic of Singapore, to claim for, inter alia, damages in the sum of US$210,958,651.49, RMB 197,420,000, and S$12,976.76 (or alternatively, damages to be assessed), and/or in the alternative, an inquiry into and/or an account of profits or such other sums to the Company as the Court thinks fit, interests and costs. The Company will update shareholders on further developments on this matter.
