PROFIT WARNING

The board of directors (“Board”) of Contel Corporation Limited (“Company”) refers to its announcement dated 30 May 2011 in relation to its Unaudited Full Year Financial Statement and Dividend Announcement for the Financial Year ended 31 March 2011 in which the Company has announced, inter alia, that the Company and its subsidiaries (the “Group”) are facing challenging market conditions due to the declining US Dollar and the global inflationary pressure contributing to rising raw material and labour costs.

The financial results of the Group for the financial period ended 30 September 2011 is expected to show a net loss. Further details of the Group’s performance will be disclosed when it announces its unaudited financial results for the financial period ended 30 September 2011.

DISCONTINUATION OF FINANCIAL ADVISER

The Board refers to its announcement dated 8 July 2011 in relation to the appointment of financial adviser in respect of the proposed acquisition by the Company of the entire issued and outstanding share capital of Solar Silicon Resources Group Pte.Ltd. by way of an exchange for shares in the Company (“Proposed Acquisition”).

For commercial reasons, the Board wishes to announce that the Company and its financial adviser have mutually agreed to discontinue the services of the financial adviser in respect of the Proposed Acquisition.

The Board also wishes to assure the shareholders that its existing professional advisers remain actively engaged in respect of the Proposed Acquisition.

Shareholders are advised to exercise caution in trading their shares as the Proposed Acquisition is subject to numerous conditions that there is no assurance as at the date of this announcement that the Proposed Acquisition will be completed. The Company will make the necessary announcements when there are further developments on the Proposed Acquisition. Shareholders are advised to read all further announcements by the Company carefully and to consult their stock brokers, bank managers, solicitors or other professional advisors if they have any doubt about the actions they should take.
