Ltd., the trustee-manager of Perennial China Retail Trust (“PCRT” and as trustee-manager of PCRT, the “Trustee-Manager”), is of the opinion, after considering, inter alia, Mr. Foo Jong Sin’s more than 16 years of finance, treasury and risk management experience in the real estate industry, his prior appointments as Director/Chief Financial Officer/Vice President in Reed Sinopharm Exhibition, Head Corporate Finance and Head Group Finance (CapitaLand-SZITIC Consulting & Management (Shenzhen) Co., Ltd.) in CapitaMalls Asia Limited, and various executive roles in Asia Food & Properties Limited (now known as Sinarmas Land Limited, part of the Sinar Mas Group International Property Division), that Mr. Foo Jong Sin is suitable to perform his role as the Chief Financial Officer of the Trustee-Manager. After making all reasonable enquiries, and to the best of their knowledge and belief, nothing has come to the attention of the Audit and Risk Committee to cause them to believe that Mr. Foo does not have the competence, character and integrity expected of a Chief Financial Officer of the Trustee-Manager of a listed business trust. Based on the Audit and Risk Committee's recommendation, the Board approved the appointment of Mr. Foo as Chief Financial Officer of the Trustee-Manager.
