Reasons for Suspension *	We refer to the voluntary conditional cash offer (the “Offer”) by CIMB Bank Berhad (“CIMB”) for and on behalf of Dragon Harbour Ventures Limited (the “Offeror”) for all the issued and paid-up ordinary shares of S$0.280 each (“Shares”) in the capital of China Farm Equipment Limited (the “Company”), other than those Shares held by the Offer as at the date of the Offer (the “Offer Shares”). As stated in the SGXNET announcement No. 00130 dated 28 January 2013 released by CIMB for and on behalf of the Offeror (“Close of Offer Announcement”), the Offer has closed at 5.30 p.m. on 28 January 2013. As stated in the Close of Offer Announcement, as at the close of the Offer, the Offeror has received valid acceptances in respect of 235,737,479* Shares in the Company, representing 97.41% of the total issue Shares in the Company. As such, suspension of trading has been requested in view of the level of acceptances of the Offer, resulting in the percentage of Shares held in public hands or “free float” falling below ten per cent. as provided under Rule 723 of the Listing Manual. Note: * This includes the acceptance received from China Longzhou, being a party acting in concert with the Offeror, in respect of 212,251,547 Offer Shares, representing approximately 87.71 per cent. of the total number of issued Shares.
