Description
The Board of Directors of Sinarmas Land Limited (“SML”) wishes to announce that PT Bumi Serpong Damai Tbk (“BSD”) will be convening an extraordinary general meeting on Thursday, 30 May 2013 to seek its shareholders’ approval to conduct a Non Pre-emptive Rights in the maximum size of 10% of the total issued and paid up shares of BSD within a period of 2 years.

BSD has today published additional information in relation to the Public Offering for Phase 2 of its IDR3,000,000,000,000 (IDR Three Trillion) Bond Program, to raise IDR1,750,000,000,000 (IDR One Trillion Seven Hundred Fifty Billion) with annual coupon payment of 8.375% for a period of 5 years (“Phase 2 Bond”).

Proceeds raised from the Phase 2 Bond are expected to be received by 5 June 2013 followed by the listing of the bonds issued under the Phase 2 Bond on the Indonesia Stock Exchange (“IDX”) by 7 June 2013.

A copy of each of the following publication by BSD is attached:

(1) Information Disclosure to Shareholders of BSD in Respect of the Company’s Plan on Capital Increase Without Pre-Emptive Rights (Bahasa Indonesia version and its unofficial English translation); and

(2) Additional Information on the Phase 2 Bond (Bahasa Indonesia version).

BSD is a subsidiary of SML listed on IDX.
