Description
The Board of Directors of HL Global Enterprises Limited (the “Company”) refers to the announcement entitled “Joint Venture Agreement between Victory Heights Sdn Bhd and Heritage Hallmark Sdn Bhd” released by the Company on 2 November 2012.

In connection with the said agreement, HL Heritage Sdn. Bhd. (“HL Heritage”) was incorporated in Malaysia as a joint venture company with 60% interests held by Victory Heights Sdn Bhd, a wholly-owned subsidiary of the Company and the remaining 40% interests held by Heritage Hallmark Sdn Bhd.

The principal activities of HL Heritage are those relating to property development and property investment holdings.

The authorized capital of HL Heritage is RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each and the initial issued and paid-up capital is RM2.00 divided into 2 ordinary shares of RM1.00 each.
