A) The Circular of China Animal Healthcare Ltd. dated 19 July 2013 regarding:-

(1) Proposed Voluntary Delisting of China Animal Healthcare Ltd. from the official list of the Singapore Exchange Securities Trading Limited

(2) Proposed Conditional Delisting Cash Exit Offer by China Animal Healthcare Ltd. to be effected by way of a Selective Capital Reduction Under Section 46 of the Bermuda Companies Act

(3) Proposed Issue of 240,860,938 New Ordinary Shares in the capital of the Company at an issue price of S$0.30 for each new share to Lilly Nederland Holding B.V.

and

(4) Notice of Special General Meeting

B) The special resolution regarding the Approval for the Delisting Pursuant to the Selective Capital Reduction passed at the Special General Meeting held on 12 August 2013 and the poll results announcement of the said Special General Meeting as announced on the same day the (“Special Resolution”).

Consequent to the passing of the Special Resolution at the Company’s Special General Meeting held on 12 August 2013, the last date of the trading of shares on the SGX-ST shall be 19 August 2013 and the trading of shares will be suspended with effect from 20 August 2013.
