Announcement Title * ACQUISITION OF INTEREST IN SUBSIDIARY COMPANY Description Ellipsiz TestLab Pte Ltd. (Ellipsiz TestLab), is a company incorporated in Singapore. The Ellipsiz group owns 91.89% of Ellipsiz TestLab. The Board of Directors of the Company wishes to announce that as part of its efforts to restructure and streamline the groups businesses, its wholly owned subsidiary iNETest Resources Pte. Ltd. has entered into an agreement to purchase the remaining 8.11% interest in Ellipsiz TestLab from the minority shareholder of Ellipsiz Testlab (the Share Purchase). Upon the completion of the Share Purchase, Ellipsiz TestLab will be a wholly owned subsidiary of the Ellipsiz group. CONSIDERATION AND PAYMENT TERMS The consideration payable by iNETest Resources Pte. Ltd. for the Share Purchase is S$5,000. It is arrived at on a willing buyer and willing seller basis. The consideration will be funded by internal sources of funds and will be fully paid in cash on completion. FINANCIAL INFORMATION As per Ellipsiz TestLabs management accounts as at 31 December 2013, the shares acquired have negative net tangible asset value of approximately S$6,100. FINANCIAL EFFECTS The Share Purchase is not expected to have a material effect on the net tangible assets or earnings per share of the Company for the financial year ending 30 June 2014. DIRECTORS AND CONTROLLING SHAREHOLDERS INTERESTS None of the Directors or controlling shareholders of the Company has declared to the Company that they have any interest, direct or indirect, in the said acquisition.
