| Description | The Board of Directors of Sinarmas Land Limited (“SML” and together with its subsidiaries, the “Group”) wishes to announce the following: (1) New Subsidiary Incorporation of a 51% subsidiary of PT Bumi Serpong Damai Tbk (“BSD”), PT Duta Dharma Sinarmas (“DDS’), a company newly established in Indonesia with an issued and paid up share capital of IDR250 million (equivalent to SGD32,500) comprising 250,000 shares of IDR1,000 each fully paid up. The principal activity of DDS is real estate development and/or related business. BSD is a subsidiary of SML listed on the Indonesia Stock Exchange. (2) Increased Equity in Subsidiary SML has increased its effective interest in subsidiary, PT Sinar Usaha Marga (“SUM”) to 72.98% following the subscription of 99,987,500 additional shares of IDR1,000 each fully paid up by the Group in the share capital of SUM which was financed by internal resources. (3) New Associated Company Incorporation of a 33% associated company of BSD, PT AMSL Indonesia (“AMSL”), a company newly established in Indonesia with an issued and paid up share capital of IDR577.68 billion (equivalent to SGD75,098,400) comprising 600,000 shares of IDR962,800 each fully paid up. The principal activity of AMSL is property management.
