The Board of Directors of Loyz Energy Limited (the “Company”) wishes to announce that Loyz Oil Pte. Ltd. (“Loyz Oil”), the wholly owned subsidiary of the Company, had incorporated the following wholly-owned subsidiary in Singapore on 22 February 2013:- • Loyz Oil Philippines Pte. Ltd. (“Loyz Oil Philippines”) The initial issued and paid-up share capital of Loyz Oil Philippines is SGD 100.00 comprising of 100 issued ordinary shares. The main activities of Loyz Oil Philippines are as follows :- a) investment holding; and b) exploration and production of oil and gas. The incorporation of Loyz Oil Philippines was funded through internal resources and is not expected to have any significant effect on the consolidated net tangible assets and earnings per share of the Company and the Group for the financial quarter ending 31 March 2013. Other than interest held through the Company as shareholder, none of the Directors and controlling shareholders of the Company has an interest, direct or indirect, in the setting up of Loyz Oil Philippines.
